1. Eligibility

To enter into a business relationship with Herbmadz Rwanda Ltd, you must be a legally registered business or individual authorized to conduct business in Rwanda. All distributors must adhere to the legal requirements for the sale and distribution of beverages.

2. Order Placement

All orders must be submitted in writing or via authorized digital channels. Herbmadz Rwanda Ltd reserves the right to approve, modify, or reject orders based on availability, pricing changes, or other relevant factors.

3. Payment Terms

Payments are due according to the terms set in each individual contract or purchase order. Unless otherwise agreed, payment must be made upfront or within the agreed credit period. Late payments may incur penalties or lead to suspension of services.

4. Pricing

Prices are subject to change without notice. Herbmadz Rwanda Ltd will make efforts to inform distributors of any price changes in advance. Any discounts, promotions, or special offers are at the sole discretion of Herbmadz Rwanda Ltd.

5. Delivery and Shipping

Delivery timelines will be provided based on order volume and destination. Herbmadz Rwanda Ltd is not responsible for delays caused by external factors, such as customs, transportation issues, or natural events.

6. Returns and Refunds

Returns and refunds are subject to approval and must be requested within 7 days of product delivery. Returned products must be in their original, unopened condition. Herbmadz Rwanda Ltd reserves the right to refuse refunds if the product is damaged, opened, or used.

7. Product Liability

Herbmadz Rwanda Ltd ensures that all products are manufactured according to strict safety and quality standards. However, the company is not liable for any damage, injury, or loss caused by improper use, storage, or handling of products by distributors or customers.

8. Intellectual Property

All branding, logos, product names, and other intellectual property of Herbmadz Rwanda Ltd are protected by law. Distributors are prohibited from modifying, reproducing, or misusing any intellectual property without prior written consent.

9. Termination of Partnership

Herbmadz Rwanda Ltd reserves the right to terminate distribution partnerships at any time, with or without cause. In the event of termination, all outstanding payments must be settled within 30 days, and any remaining inventory must be returned or disposed of according to the agreed terms.

10. Governing Law

These Terms and Conditions are governed by the laws of the Republic of Rwanda. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Kigali, Rwanda.

11. Changes to Terms

Herbmadz Rwanda Ltd reserves the right to amend these Terms and Conditions at any time. Distributors will be notified of any significant changes.
